1. Acceptance
By using SparqX stations, the SparqX app, the SparqX web client or this website, you agree to these Terms. If you do not agree, do not use the service. These Terms apply together with the User Agreement (EULA) and the Privacy Policy. We may update these Terms; we publish the updated version with a new effective date and, for material changes, notify you by email and in-app at least 30 days before they take effect. Continued use after that date means acceptance.
2. The service
SparqX operates a shared powerbank rental network. You rent a powerbank from a SparqX station, use it temporarily, and return it to any station on the network. Stations and powerbanks are owned by {{LEGAL_ENTITY}} or by licensed partners; the network is operated by {{LEGAL_ENTITY}}. Station availability, free slots and opening hours are shown in the app and may change without notice.
3. Accounts
You must be at least 16 years old to create an account. If you are under 18, you confirm that a parent or legal guardian has consented to your use of the service and to the payment method you register. You are responsible for keeping your credentials and payment method secure, and for all rentals made from your account. You agree to provide accurate information and to keep it current.
4. Pricing and billing
Rental pricing is set per country and is shown to you before you confirm a rental, on the rental confirmation screen, and is published at /pricing. A tariff consists of a price per hour, any free introductory minutes, a daily cap, and — where applicable — a refundable deposit. The tariff in force is the one displayed at the moment you confirm the rental; later changes do not apply to a rental already in progress. Charging starts when the powerbank is released from the slot and stops when it is fully seated in a slot at any station. Amounts are charged to your registered payment method, or deducted from your SparqX balance where you hold one. Receipts are available in the app under History.
5. Deposit and non-return
Where the tariff for a station requires a deposit, we place a hold on your payment method at pickup. The hold is released when you return the powerbank, minus the rental amount due. If a powerbank is not returned within the period stated in the tariff, the deposit is captured as a replacement fee and the powerbank becomes yours. If you subsequently return an undamaged powerbank, we refund the replacement fee less the rental amount accrued up to the capture. Cosmetic wear is not chargeable; functional damage is — see the User Agreement.
6. Your obligations
Do not damage, disassemble, or modify a powerbank or station. Do not use the equipment for unlawful purposes or outside its specifications (extreme temperature, submersion, fire). Do not operate multiple accounts to circumvent caps or promotional limits. Return the powerbank promptly and report damage or malfunction through in-app support.
7. Coupons, bonuses and subscriptions
Coupons, bonus balance and subscription discounts are granted at our discretion, are personal, non-transferable and have no cash value. Bonus balance cannot be withdrawn and is spent before real balance. A subscription grants a percentage discount on rentals for its term; it does not entitle you to free rentals. We may cancel promotional credit obtained through abuse or error.
8. Intellectual property
The SparqX name, logo, applications, station software and network are owned by {{LEGAL_ENTITY}}. You receive a limited, revocable, non-transferable licence to use them for the purpose of renting a powerbank. No reverse engineering, scraping or redistribution.
9. Limitation of liability
{{LEGAL_ENTITY}} is not liable for incidental, indirect or consequential damages arising from use of the service, including damage to devices charged with a SparqX powerbank, save where such damage is caused by our proven negligence. Our total liability is capped at the greater of the amount you paid us in the preceding 12 months or the applicable statutory minimum. Mandatory consumer rights under the law of your country of residence are not affected by this clause.
10. Suspension and termination
We may suspend or terminate your account for breach of these Terms, for non-payment, or for fraudulent activity. You may close your account at any time in the app; outstanding balances and any powerbank in your possession remain your responsibility.
11. Governing law and disputes
These Terms are governed by {{JURISDICTION}}, without prejudice to mandatory consumer protection law in your country of residence. We aim to resolve complaints through {{SUPPORT_EMAIL}} within 14 days. If unresolved, EU consumers may use the ODR platform at ec.europa.eu/consumers/odr.
